Blujin Terms of Service

Blujin, Corp. ("Blujin," "we," "us," or "our") provides AI-powered tools that help recruiting and talent-acquisition teams identify, evaluate, and score candidates. These Terms of Service ("Terms") govern access to and use of: (a) Blujin People Explorer, a Chrome browser extension that analyzes profile data encountered on professional networking and similar websites and produces candidate scoring ("People Explorer"); and (b) Blujin Resume Explorer, a software-as-a-service product that connects to a Client's Applicant Tracking System ("ATS") and analyzes resumes against job descriptions to produce fit scoring ("Resume Explorer"). People Explorer and Resume Explorer, together with any related websites, applications, dashboards, and support services, are referred to as the "Products" or the "Service."

By downloading, installing, accessing, or using any Product, or by creating a Blujin User ID, you ("you," "User," or "Client," as applicable) agree to be bound by these Terms as of the date you first do so (your "Effective Date"). If you do not agree, do not install or use the Service. If you are using the Service on behalf of a company or other entity (a "Client"), you represent that you have authority to bind that entity, and "you" refers to that entity as well as to you individually.

These Terms are organized into: Part I, definitions and terms that apply to all Users and Products; Part II, additional terms specific to People Explorer; Part III, additional terms specific to Resume Explorer; and Part IV, general legal terms that apply to all Users and Products.

Part I. Definitions and General Provisions

1. Definitions

"Authorized User" means an individual who accesses the Service under a Client's account or subscription, or who creates an individual Blujin User ID.
"Candidate" means an individual whose profile, resume, or related information is viewed, analyzed, or scored through the Service, whether encountered on a Professional Networking Platform (via People Explorer) or uploaded via an ATS or local file (via Resume Explorer).
"Professional Networking Platform" means LinkedIn and any similar professional networking, recruiting, or candidate-profile website or SaaS platform (such as Indeed or Glassdoor) that People Explorer may support from time to time. References to LinkedIn are illustrative and do not limit these Terms to LinkedIn alone.
"Job Description" or "JD" means a job posting, requisition, or position description that is uploaded to, or retrieved by, a Product, whether from a local disk drive, a public URL, an ATS, or otherwise.
"Resume" means a candidate resume, CV, or similar application material processed through Resume Explorer.
"Blujin Skillbase" means Blujin's proprietary taxonomy and ontology of job titles, roles, and associated skills, and all data, mappings, and inferences that Blujin derives or abstracts from Job Descriptions, Resumes, or other content processed by the Service.
"Client Data" means Job Descriptions, Resumes, and other content or data that a Client or its Authorized Users upload to, or make available through, the Service, excluding the Blujin Skillbase.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. Certain features require a Blujin User ID. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. Notices under these Terms will be sent to the email address associated with your Blujin User ID, and you are responsible for keeping that address current and monitored.

3. Responsibility for Authorized Users

If you are a Client, you are responsible for the activities of all Authorized Users you permit to access the Service on your behalf, and you will ensure that each Authorized User complies with these Terms. You are responsible for any violation of these Terms by an Authorized User as though you had committed the violation yourself. Blujin may investigate any reported violation and take any action it deems appropriate, including suspending or terminating an Authorized User's access or a Client's account.

4. License Grant

Subject to your compliance with these Terms, Blujin grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Product(s) you are authorized to use, solely for your own internal business or personal purposes, for as long as you maintain an active subscription or authorized installation. No other rights are granted, and all rights not expressly granted are reserved by Blujin.

5. Prohibited Conduct

In addition to any product-specific restrictions in Parts II and III, you agree that you will not, and will not permit or assist any third party to:

reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Service, except to the extent such restriction is prohibited by applicable law;
copy, reproduce, modify, or create derivative works of the Service or its content, models, prompts, algorithms, or documentation;
use the Service, or information or techniques derived from observing it, to build, train, or improve a competing product, or to develop a "work-alike," clone, or substantially similar product or service;
remove, obscure, or alter any proprietary notices on or in the Service;
benchmark the Service, or use it to build a competitive analysis of a competing product;
circumvent, disable, or interfere with any security or license-enforcement feature of the Service;
use automated means (bots, scrapers, crawlers) to access the Service or extract data from it, other than the Service's own built-in functionality operating within an authorized session;
use the Service in a manner that violates the terms of service of any Professional Networking Platform or ATS, or that facilitates unlawful discrimination, harassment, or violation of any person's privacy or data protection rights;
sublicense, rent, lease, sell, distribute, or otherwise transfer the Service to any third party; or
use the Service for any unlawful purpose or in a way that infringes the rights of Blujin or any third party.

Blujin's software, models, prompts, matching methodologies, semantic and ontological frameworks, the Blujin Skillbase, and all related documentation constitute valuable trade secrets and proprietary intellectual property of Blujin. Unauthorized decompilation, misappropriation, or use of this intellectual property to create a competing or substantially similar product is a material breach of these Terms and may violate applicable trade secret, copyright, and computer misuse laws (including the U.S. Defend Trade Secrets Act and the Computer Fraud and Abuse Act). As set forth in Section 21 below, Blujin may seek injunctive and other equitable relief in court for any actual or threatened violation of this Section 5, notwithstanding the arbitration agreement in Section 21.

6. Intellectual Property

The Service, including all software, text, graphics, logos, trademarks, algorithms, the Blujin Skillbase, and other content, is owned by Blujin or its licensors and is protected by U.S. and international intellectual property laws. Nothing in these Terms transfers any ownership rights to you. "Blujin," "Blujin People Explorer," "Blujin Resume Explorer," and associated logos are trademarks of Blujin, Corp. and may not be used without prior written permission.

7. Job Descriptions, Resumes, and the Blujin Skillbase

This Section describes how Blujin handles Job Descriptions and Resumes across the Products, and how that content relates to the Blujin Skillbase. Additional, product-specific detail appears in Parts II and III.

Blujin retains copies of Job Descriptions uploaded or retrieved through People Explorer, and copies of Job Descriptions and Resumes uploaded through Resume Explorer, as described in Parts II and III.
Blujin does not share Job Descriptions or Resumes, or the Candidate-identifying information they contain, with any other party, except as described in our Privacy Policy (for example, to service providers who process data on Blujin's behalf, or where required by law).
Blujin uses Job Descriptions and Resumes to derive job titles, roles, and related skills, and to train, validate, and improve the Blujin Skillbase. The Blujin Skillbase and all data derived or abstracted from Client Data are the sole property of Blujin, do not identify any Candidate, and may be used and retained by Blujin without restriction, including after termination of these Terms.
Ownership of Client Data itself (the Job Descriptions and Resumes as submitted) is addressed in Parts II and III.

8. Client Representations Regarding Candidate Data

If you upload, or authorize the Service to retrieve, any Job Description, Resume, or other information about a Candidate, you represent that you have the right to do so, and that such upload and use through the Service does not violate any privacy or other rights of that individual, including that you have provided any notice or obtained any consent required by applicable law or by your own agreements with that individual. You are solely responsible for determining whether, and to what extent, you may share Candidate information obtained through the Service with others, consistent with your own privacy notices and agreements with Candidates. Blujin is not responsible for a Client's decisions to disclose, or not disclose, Candidate information to any party.

9. Data Protection and International Users

As between Blujin and a Client, the Client is the data controller (or equivalent, e.g., "business" under the CCPA/CPRA) with respect to personal data of Candidates contained in Client Data, and Blujin acts as a data processor (or "service provider") that processes such data on the Client's behalf and instructions, in accordance with these Terms and our Privacy Policy. Blujin acts as an independent controller only with respect to (a) account and billing information about Clients and Authorized Users, and (b) the Blujin Skillbase and other de-identified, aggregated, or derived data described in Section 7. Where the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the UK GDPR, or similar laws apply, each party will comply with its respective obligations and will reasonably cooperate with the other to enable individuals to exercise their data protection rights.

10. Third-Party Platforms and Integrations

You are solely responsible for your use of any Professional Networking Platform or ATS in connection with the Service, and for complying with that platform's terms of service and applicable law, including data privacy and anti-discrimination laws. Blujin is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation, any other Professional Networking Platform, or any ATS provider. If a Product integrates with, or provides links to, third-party sites, resources, or systems, those links and integrations are provided for convenience only; Blujin does not control and is not responsible for third-party content, availability, or practices.

11. Fees and Subscription

Certain features of the Service require payment of subscription or usage fees, as described at the time of purchase or in an applicable order form. Fees are non-refundable except as required by law or as otherwise stated in an applicable order form. We may change pricing prospectively with notice.

12. No Guarantee of Results

The Service is intended to help Users evaluate and prioritize candidates more efficiently, but Blujin does not guarantee any hiring outcome, response rate, or level of accuracy in scoring, matching, or recommendations. Hiring, rejection, and outreach decisions are made solely by the User and, where applicable, the Client, and Blujin is not responsible for those decisions.

Part II. Additional Terms for Blujin People Explorer

13. Description of People Explorer

People Explorer is a browser extension that analyzes publicly visible and User-accessible profile information encountered while browsing a Professional Networking Platform, in order to help the User make more informed decisions about who to engage with (e.g., candidates, prospects, or professional contacts), including through scoring against a Job Description. People Explorer uses semantic and ontological matching, filtering, and organizational tools to assist the User's own review process. People Explorer does not automate outreach on any Professional Networking Platform, does not scrape and store a Professional Networking Platform's proprietary database, and operates within the User's own authenticated browser session.

14. Job Description Upload and Search Configuration

People Explorer allows a User to upload a Job Description from a local disk drive, or to provide a public URL from which People Explorer will retrieve a Job Description. People Explorer uses the content of that Job Description to determine a job title and related skillset, and to configure searches and scoring that the User then runs on Professional Networking Platforms and other supported websites or SaaS products.

Blujin retains copies of Job Descriptions submitted through People Explorer. Blujin does not share those Job Descriptions with any other party.
Blujin uses the content of uploaded or retrieved Job Descriptions to derive job titles and related skillsets, and to enhance the Blujin Skillbase. All data so derived is the property of Blujin, as described in Section 7.
You represent that you have the right to submit any Job Description you upload or point People Explorer to, and that doing so does not infringe any third party's rights.

15. User Data and Candidate Profiles

Any Candidate profile information People Explorer analyzes is information you already have lawful access to through your own authenticated session on a Professional Networking Platform. You are responsible for the lawfulness of your own use of that information, including any decisions about who to engage with. See our Privacy Policy for details on how Blujin handles information in connection with People Explorer.

Part III. Additional Terms for Blujin Resume Explorer

16. Description of Resume Explorer

Resume Explorer is a software-as-a-service product that connects to a Client's ATS (or accepts direct uploads) and analyzes Resumes against one or more Job Descriptions to produce a fit score and related insights, in order to help the Client's recruiting team prioritize and evaluate candidates.

17. Uploading Job Descriptions and Resumes

Resume Explorer allows Authorized Users to upload Job Descriptions and Resumes from a connected ATS or from a local disk drive. Blujin retains copies of all Job Descriptions and Resumes submitted through Resume Explorer.

You are free to share Resumes, Job Descriptions, and related scoring output obtained through Resume Explorer with others, consistent with your own agreements with the Candidates who submitted those materials to your ATS, and subject to Section 8 above.
Blujin will not share Job Descriptions, Resumes, or Candidate-identifying information with any other party, except as described in our Privacy Policy.
Blujin uses Job Descriptions and Resumes submitted through Resume Explorer to derive job titles, roles, and related skills, and to enhance the Blujin Skillbase, an ontology of job titles, roles, and associated skills. Blujin owns all data it derives from Client Data for inclusion in the Blujin Skillbase, as described in Section 7. Blujin does not claim ownership of the underlying Job Descriptions or Resumes themselves, which remain Client Data.

18. ATS Integration

If you connect Resume Explorer to your ATS, you represent that you are authorized to grant Blujin the access needed to retrieve Job Descriptions and Resumes from that ATS, and that your agreement with your ATS provider permits such integration. You are responsible for configuring and maintaining any permissions, credentials, or connectors required for the integration, and for promptly revoking access if it is no longer authorized.

Part IV. General Terms for All Users

19. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BLUJIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ANALYSIS, SCORING, MATCHING, OR RECOMMENDATION PRODUCED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR DECISION. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS YOU MAKE BASED ON INFORMATION PROVIDED BY THE SERVICE, INCLUDING HIRING, ENGAGEMENT, OR OUTREACH DECISIONS.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUJIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BLUJIN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO BLUJIN FOR THE APPLICABLE PRODUCT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

21. Indemnification

You agree to indemnify, defend, and hold harmless Blujin and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any Professional Networking Platform's or ATS's terms of service or applicable law; (d) Client Data you submit, including any failure to obtain necessary rights, notice, or consent from a Candidate; or (e) any decisions you make regarding engagement with individuals based on the Service's output.

22. Term and Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for any violation of Section 5. Upon termination, your license to use the Service immediately ends, and you must cease all use and destroy any copies of the Service in your possession. Blujin may retain and continue to use the Blujin Skillbase and any other data described in Section 7 after termination. Sections 5, 6, 7, 19, 20, 21, 23, and 24 will survive termination.

23. Changes to These Terms

We may modify these Terms from time to time. We will provide notice of material changes (e.g., via the Service or by email to the address associated with your Blujin User ID). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

24. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

25. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

25.1 Agreement to Arbitrate. Except as set forth in Section 25.5 below, you and Blujin agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.

25.2 Arbitration Rules. The arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (and, if applicable, its Consumer Arbitration Rules) then in effect. The arbitration will be conducted by a single arbitrator, and will take place in Delaware or another mutually agreed location, or, at your election, may be conducted by telephone, videoconference, or based on written submissions. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

25.3 Class Action Waiver. You and Blujin agree that any Dispute will be resolved solely on an individual basis, and that arbitration will not be conducted on a class, collective, or representative basis. Neither you nor Blujin may bring a Dispute as a plaintiff or class member in any purported class, collective, or representative proceeding.

25.4 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to the email address in Section 27 within thirty (30) days of the date you first accept these Terms, stating your name, the email address associated with your Blujin User ID, and a clear statement that you wish to opt out. If you opt out, neither you nor Blujin will be required to arbitrate Disputes with the other, and Section 24's Delaware governing law will apply to Disputes resolved in court.

25.5 Carve-Out for Injunctive Relief and IP Claims. Notwithstanding the foregoing, either party may bring an individual action in the state or federal courts located in Delaware seeking injunctive or other equitable relief for actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights, including any violation of Section 5. The parties consent to the personal jurisdiction of those courts for such actions.

25.6 Severability of Arbitration Terms. If the class action waiver in Section 25.3 is found unenforceable as to a particular Dispute, then that Dispute (and only that Dispute) will proceed in the courts identified in Section 25.5 rather than in arbitration. The remainder of this Section 25 will otherwise remain in full force and effect.

26. Miscellaneous

These Terms, together with our Privacy Policy and any applicable order form, constitute the entire agreement between you and Blujin regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force. Blujin's failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without Blujin's prior written consent; Blujin may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
